The musical compositions distributed on this webpage (the “Music”) are composed, produced, and distributed by the composer Sharou (“しゃろう” in Japanese) himself. You may use the Music in accordance with these terms and conditions of use (“Terms of Use”). By using the Music, you are deemed to have agreed to these Terms of Use.
All copyrights, neighboring rights, and any other rights under intellectual property laws including [Japan’s] Copyright Act that arise from the Music belong to Sharou. These Terms of Use grant you, the user, permission to use the Music under the following conditions, and do not transfer or assign any rights in or to the Music. The Music is managed by Sharou himself and has not been entrusted to any collective management organization of copyrights and related rights (each, a “CMO”) such as JASRAC.
These examples are illustrative and do not limit the types of works, content, projects, or other uses in which the Music may be used.
For the purposes of these Terms of Use, Sharou's icon (the “Icon”) means the image file made available at the following URL.
https://sharou-assets.netlify.app/sharou-icon.jpg
You may use the Icon solely for purposes incidental to the use of the Music, including, but not limited to, placement in thumbnails, streaming screens, descriptions, promotional images, or similar materials for productions using the Music, regardless of whether you are an individual or entity and whether the use is commercial or non-commercial, free of charge and without obtaining individual permission. No credit is required for such use. Use of the Icon in any manner not incidental to the use of the Music is outside the scope of permission granted under these Terms of Use.
When you produce a musical work based on the Music (the “Musical Work”), you may use the Music only if both of the following conditions are met:
You must not engage in any of the following acts in connection with the use of the Music without the prior consent of Sharou.
If you engage in any of the following acts without the prior consent of Sharou, Sharou may retroactively revoke your license under these Terms of Use, suspend the distribution of the works or content you created, suspend monetization of such works or content, and take any other actions, including actions that may be taken on the UGC Services.
(Ex:) Use of the Music in a video work, such as a loop animation, whose main purpose is to cause the audience to listen to or access the Music.
(Example of not satisfying item (i): Distribution or other use of the Music as a mix-adjusted version, loop version, or collection of background music for work, etc., which does not add musical creativity to the Music.
(Example of not satisfying item (ii)) Distribution, sale, performance, or other use on media other than UGC Services (including, but not limited to, distribution on Apple Music, Spotify, etc., registration with music recognition services such as Shazam, distribution as standalone background-music material, and sale of tangible goods such as CDs and music boxes, etc.).
Sharou will not be liable for any damages you may incur in connection with the use of the Music.
Sharou reserves the right to discontinue distribution of the Music at any time without notice. However, you may continue to use the Music downloaded before distribution was discontinued under these Terms of Use.
Sharou reserves the right to revise these Terms of Use without prior consent of the user whenever such revisions are considered necessary by Sharou. The revised version of these Terms of Use will apply to the Music downloaded after the revision. Sharou will post the revised version of these Terms of Use as revision history if any revisions are made to these Terms of Use.
The formation, performance, and interpretation of these Terms of Use will be governed by the laws of Japan, and in the event of any dispute, the Tokyo District Court will have exclusive jurisdiction as the court of first instance.
The original text of these Terms of Use is prepared in Japanese. Only the Japanese-language version is legally binding, and this English translation is provided for reference purposes only.
